GENERAL TERMS

1. Introduction

This document aims to regulate the GENERAL TERMS AND CONDITIONS OF CONTRACTING the Pre-Booking and Online Booking services (hereinafter, interchangeably, the Pre-Booking and Online Booking services, or the services) of SEM IBERIA CORPORATE, S.L. Unipersonal, with registered office in Madrid-28033, Piquer Street number 4, 1st D, and CIF B88579842. Established indefinitely by deed granted before the Notary of Madrid Mr. Jorge Sáez-Santurtún Prieto on January 27, 2020, under protocol number 277, registered in the Commercial Registry of Madrid, volume 40242, sheet 21, page M-714966, registration 1st (hereinafter, TRH HOTELS), Tel. 913 43 03 18. The terms "You" and "User" are used here to refer to all individuals and/or entities who for any reason access www.trhhoteles.com or use the services.

The use of these services will imply full and unconditional acceptance, and validity, of each and every one of the Terms and/or General Conditions - which will be automatically considered incorporated into the contract signed with TRH HOTELS, without the need for their written transcription in the same - as set out in the latest updated version of these Terms and/or General Conditions.

2. USE OF TRH HOTELS' PRE-BOOKING AND ONLINE BOOKING SERVICES

2.1 Pre-Booking Services The online Pre-Booking services are merely informational and aim solely to offer the user the possibility to check room availability in a hotel or city of their preference. WITHIN 24H, THE USER WILL RECEIVE AN EMAIL CONFIRMING IF THEIR RESERVATION HAS BEEN MADE, SO IT WILL ONLY BE BINDING ONCE ACCEPTED BY TRH HOTELS THROUGH THE CONFIRMATION OF THE RESERVATION BY EMAIL AND SUBSEQUENT PAYMENT. The user must verify the reservation confirmation and notify TRH HOTELS immediately in writing of any errors.

2.2 Online Booking Services

a. The Online Booking services aim to book a room at any of the TRH HOTELS. THE USE OF THESE SERVICES IMPLIES FULL AND UNCONDITIONAL ACCEPTANCE, AND VALIDITY, OF ALL AND EACH ONE OF THE TERMS OR GENERAL CONDITIONS - WHICH WILL BE AUTOMATICALLY CONSIDERED INCORPORATED INTO THE CONTRACT SIGNED WITH TRH HOTELS, WITHOUT THE NEED FOR THEIR WRITTEN TRANSCRIPTION IN THE SAME - AS SET OUT IN THE LATEST UPDATED VERSION OF THESE TERMS AND/OR GENERAL CONDITIONS.

b. Contracting procedure: By using the service, the user will receive a confirmation email including the confirmation that their purchase order is being processed. If you are a consumer, once the corresponding charge for your reservation has been made, you will receive an email confirming it, serving as proof of your reservation. The credit card holder used for booking must match the guest staying at the establishment. The credit card used in the booking will be requested upon arrival to verify the provided data are correct. The credit card holder must be present at that time.

c. Guarantee: The reservation is confirmed and guaranteed all night with a credit card. In case of not showing up at the hotel without prior notice, the first night (VAT and taxes included) will be charged.

d. Contract resolution or reservation cancellation: The credit card is only a guarantee. User cancellations will not incur early cancellation fees, as long as they are made before the established time limit in each country (local hotel time) on the day of arrival. After that threshold, TRH HOTELS will charge cancellation fees, amounting to the cost of the first night (VAT and taxes included).

This clause is not valid for reservations made with special rates. In this case, the respective conditions set forth will apply.

The cutoff times for arrival at the hotel in each country are:

Spain: 18:00 hours on the day of arrival.

e. TRH HOTELS Children Policies

TRH HOTELS: The children policies at all our hotels are subject to the hotel facilities and determined by the hotel's management, as described in the valid contracts.

f. Minor Policy.

Children under 18 years old must stay at the hotel accompanied by their parents, guardians, or adults duly authorized by them. The hotel staff may request the relevant documentation to identify the adults as parents/guardians or authorized individuals.

g. Prices per room per night.

Prices are only valid in writing and during the period indicated. When there are justifiable reasons, TRH HOTELS reserves the right to modify these rates without prior notice.

The prices relating to the reservation will be indicated to you during the booking process. Prices are subject to VAT, without prejudice to any additional taxes that may apply in accordance with local regulations in each country. These local taxes must be paid directly at the hotel.

h. The prices shown at the time of booking include VAT (or the equivalent tax) according to the applicable tax rate at the time.

If the tax rate changes between the booking date and the service delivery date, resulting in a discrepancy, the applicable tax rate at the time of service delivery or tax accumulation will apply, even if this causes an increase in the final price compared to the price indicated at the time of booking.

2.3 The user agrees to use the services in accordance with the Law, morality, good customs, and public order, as well as the provisions in these General Terms and/or Conditions. Consequently, the user is obliged not to use the services for illicit purposes and/or purposes contrary to the established General Terms and/or Conditions, harmful to third-party rights and/or interests, or that could in any way damage the services, TRH HOTELS, and/or its image.

2.4 TRH HOTELS may, for the sake of efficiency and in the best interest of users, unilaterally modify, at any time and without prior notice, the services provided, or the operating, technical, and usage conditions of the services. Likewise, users, to improve the service and establish an optimal quality level, the ultimate goal of TRH HOTELS, may suggest any modifications they consider useful by contacting the page administrators via email: info@trhhoteles.com.

3. DATA PROTECTION

This section provides information about the processing of your data in relation to reservations and pre-reservations.

FOR WHAT PURPOSE WILL TRH HOTELS PROCESS THE DATA OF THE DATA SUBJECT AND FOR HOW LONG?

We inform you that the data provided by the account holder will be processed by TRH HOTELS for the following purposes:

Managing the reservations and/or pre-reservations requested by the user.
Sending the reservation confirmation or related documentation.
If consent is given, sending commercial communications from TRH HOTELS.
WHAT DATA WILL TRH HOTELS PROCESS?

To correctly provide the services, TRH HOTELS will process the following categories of data:

Identification data: name, surname, nationality.
Contact details: email address, phone number.
Transaction data: products and services purchased or of interest.
Stay preferences.
Economic, financial, and insurance data.
Other data: data provided by the users in open fields.
The data requested from the data subject is mandatory for the correct provision of the services, and therefore, refusal to provide it will prevent the provision of the services. When non-mandatory data is requested, it will be indicated in the form.

In case the user provides third-party data, they confirm that they have obtained consent from them and agree to pass on the information contained in the Privacy Policy, releasing TRH HOTELS from any liability in this regard. However, TRH HOTELS may carry out periodic verifications to ensure this, taking the appropriate due diligence measures according to data protection regulations.

WHAT IS THE LEGAL BASIS FOR THE PROCESSING OF USER DATA?

The legal basis for processing personal data will be the execution of the contract between the parties. In the case of sending commercial communications, it will be the consent of the data subject.

The consents obtained for the purposes mentioned are independent, so the user can revoke any of them without affecting the others.

WITH WHOM WILL THE USER’S DATA BE SHARED?

User data may be communicated to:

Companies integrated or affiliated with the TRH HOTELS Group, all dedicated to the hotel sector, who need access to the data to correctly provide the selected services. Likewise, user data will be communicated to hotel owners to inform them of the conditions of the stay (price, dates, included services, etc.), some of whom may be located outside the European Economic Area, even in countries that do not offer a level of protection equivalent to Spanish standards, for the sole purpose of providing the services correctly.

DATA CONSERVATION

Personal data provided will be kept for the duration of the contractual relationship and, once concluded, for the prescription period of any legal actions that may arise from it.

Regarding data for sending commercial communications, the data will be kept until the user revokes the provided consent. However, withdrawing consent will not affect the legality of the treatments carried out previously.

THIRD-PARTY DATA PROCESSING

If the data subject provides third-party data at any time, they confirm that they have obtained consent from the third parties and agree to transmit this information to TRH HOTELS, including any updates regarding them.

USER RIGHTS REGARDING THEIR DATA.

The data subject can exercise the following rights, free of charge and at any time, by writing to the email address info@trhhoteles.com with the reference "Data Protection", attaching a copy of their identity document:

Revoke consent for the processing and communication of their personal data.
Obtain information about the existence or non-existence of the processing of their personal data.
Access their personal data.
Rectify inaccurate or incomplete data.
Request the deletion of their data when, among other reasons, the data is no longer necessary for the purposes for which it was collected.
Limit data processing when any of the conditions specified in data protection laws are met.
Under certain circumstances and for reasons related to their particular situation, data subjects may object to the processing of their data.
Request data portability.

4. CORRECT USE OF THE WEBSITE CONTENT BY THE USER

4.1 TRH HOTELS declares that the industrial property rights (Trademarks, Trade Names, etc.) appearing on this website are its property and/or are legitimately exploited by agreements or licenses, and are duly protected by applicable industrial property laws. The user agrees to use the website diligently, correctly, and lawfully, and in particular agrees to refrain from:

a) Removing, circumventing, or manipulating the "copyright", trademarks, and other identifying data of the rights of TRH HOTELS or its holders incorporated into the content and/or products sold on TRH HOTELS’ website, as well as technical protection devices, digital fingerprints, or any information mechanisms that may contain them.

b) Using the contents, particularly the information from TRH HOTELS obtained through the website, for sending advertising, direct sales communications, or any other commercial purposes, unsolicited messages directed at multiple people.

c) Reproducing or copying, distributing, making public, transforming, or modifying the content, unless authorized by the holder of the respective rights or legally permitted.

d) Generally using the content for purposes or effects contrary to the law, morals, generally accepted customs, or public order. TRH HOTELS does not grant any license or authorization to use its industrial and intellectual property rights or any other property or rights related to its website.

4.2 Procedure in case of violation of intellectual property rights. If any user or third party considers that any content has been posted on their website in violation of their intellectual property rights, they must send a notification to TRH HOTELS with complete and precise details of their data and the intellectual property rights allegedly infringed, as well as the website.

5. RIGHT TO MODIFY THE GENERAL TERMS AND CONDITIONS

TRH HOTELS reserves the right to modify these General Terms and/or Conditions, informing users of the modifications made through www.trhhoteles.com with their user and password.

6. EXCLUSION OF WARRANTIES AND LIABILITY

6.1 TRH HOTELS DOES NOT GUARANTEE THE RELIABILITY, AVAILABILITY, OR CONTINUITY OF THE SERVICES MADE AVAILABLE TO THE USER, AND THEREFORE EXCLUDES ANY LIABILITY FOR DAMAGES AND/OR LOSSES THAT MAY RESULT FROM THE LACK OF AVAILABILITY, RELIABILITY, OR CONTINUITY OF THE WEBSITE OR ITS SERVICES.

6.2 TRH HOTELS DOES NOT OBLIGATE AND DOES NOT PRE-CHECK THE ABSENCE OF VIRUSES OR ELEMENTS IN THE CONTENT THAT MAY ALTER USERS’ SOFTWARE OR HARDWARE.

6.3 If TRH HOTELS, despite acting with due diligence, cannot provide the booked rooms for reasons beyond its control, the user will be offered a full refund or a substitution with a similar service. If the substitution is of a lower category, TRH HOTELS will refund the difference.

7. ENFORCEMENT OF GENERAL TERMS AND CONDITIONS

If any provision of these General Terms and/or Conditions is declared null or ineffective, the remainder will remain in full force. TRH HOTELS will replace the affected provision with one that closely approximates the original intent.

8. WWW.TRHHOTELES.COM AND ACCEPTANCE OF USAGE RULES

The user is aware that using the Pre-Reservation and Online Reservation services implies full acceptance of the clauses of the Terms of Use on www.trhhoteles.com.

9. APPLICABLE LAW AND JURISDICTION

These General Terms and/or Conditions are governed by Spanish law. TRH HOTELS and users agree, for the resolution of any disputes, to submit to the jurisdiction of the Courts and Tribunals of Madrid, waiving any other jurisdiction that may apply.

Any dispute arising from the hotel services will be subject to consumer courts.
